adopted at a public meeting at Braddan Church Hall 15th June 1982
1. The name of the Society to "The Friends of Old Kirk Braddan".
2. The objects of the Society are —
1. to secure the preservation of the former parish church of the parish of Braddan in the Isle of Man (in this constitution called "Old Kirk Braddan") for the benefit of the Manx nation;
2. to that end to raise funds for the restoration and maintenance of the fabric and furnishings of Old Kirk Braddan and the maintenance of its churchyard;
3. to stimulate interest in Old Kirk Braddan.
3. (1) Membership of the Society shall be open to all persons who accept its objects.
(2) The Society shall consist of —
(a) the incumbent and churchwardens of the parish of Braddan;
(b) ordinary members and life members of the Society.
(3) For the purposes of membership of the Society —
(4) The Society in general meeting may from time to time by resolution substitute another amount for any of the amounts in paragraph (3), but no such resolution shall affect any existing life member.
4. (1) An annual general meeting of the Society shall be held, after not less than 14 days' notice, within 14 days of St Brendan's day.
(2) A special general meeting shall be convened after not less than 14 days' notice —
(a) on a requisition to the Chairman signed by not less than 25 members of the Society; or
(b) on a resolution of the Executive Committee.
5. The officers of the Society shall be —
(a) the President and Vice-Presidents, who shall be appointed by the Executive Committee; provided that not more than two persons may be appointed as Joint Presidents;
(b) the Chairman, the Treasurer and the Secretary, who shall be elected by the Society at its annual general meeting or, in the case of a casual vacancy, appointed by the Executive Committee, to hold office until the next annual general meeting;
(c) such other officers as the Executive Committee may recommend, who shall be elected by the Society at its annual general meeting, to hold office until the next annual general meeting.
6. (1) The Executive Committee shall consist of —
(a) the President, Chairman, Secretary and Treasurer of the Society for the time being, together with any other officers holding office under article 5(c);
(b) the incumbent and churchwardens of the parish of Braddan;
(c) such other persons, not exceeding 15 in number, as the Committee may from time to time co-opt, to hold office until the next annual general meeting.
(2) One-third of the members of the Executive Committee shall constitute a quorum.
7. (1) The funds of the Society shall be used for its stated objects and for publicity and expenses in connection therewith.
(2) No member or officer of the Society shall receive any payment, either direct or indirect, for his services or for any other matter except expenses properly incurred in his work for the Society with the prior approval of the Executive Committee.
(3) The funds of the Society (other than cash in hand or at bank) shall be vested in the trustees of the Society.
(4) The trustees of the society shall be —
(a) the incumbent of the parish of Braddan; and
(b) not more than three persons (not being members of the Executive Committee) appointed by the Executive Committee and approved by the Society in general meeting.
(5) The accounts of the Society, including the accounts of the trustees of the Society, for every year shall be audited in accordance with the Public Charities Act 1922 and presented duly audited to the next annual general meeting of the Society.
8. Without prejudice to article 3(4), this constitution, except in relation to funds of the Society for the time being held for charitable purposes, may be amended by the Society in general meeting by a majority of not less than two-thirds of the members present at the meeting, notice of the proposed amendment having been given not less than 14 days before the meeting.
9. (1) The Society may be dissolved by resolution passed in general meeting, notice of the proposed dissolution having been given not less than 14 days before the meeting.
(2) If the Society is dissolved, the assets of the Society shall be transferred to the parochial church council of the parish of Braddan, to be applied to the maintenance of the fabric and furnishing of Old Kirk Braddan and of its churchyard, or to such other charitable purposes as the council, with the consent of the Bishop, may determine.
